1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Tryzent Technologies Private Limited ("Tryzent", "LeoQui", "we", "us", "our") governing your access to and use of the LeoQui platform, including all AI-powered voice tutoring services, learning tools, analytics dashboards, and related content (collectively, the "Platform" or "Services").

1.1 Agreement to Terms

By accessing, browsing, registering for, or using the LeoQui Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

1.2 Institutional Users

If you are accessing or using the Services on behalf of an educational institution, school, organization, or any other entity ("Institution"), you represent and warrant that:

You have the legal authority to bind that Institution to these Terms
The Institution agrees to be bound by these Terms
You are authorized to accept these Terms on behalf of the Institution

1.3 Modifications to Terms

We reserve the right to modify, update, or replace these Terms at any time. Material changes will be communicated through:

Email notification to your registered email address
Prominent notice on the Platform
In-app notifications

Changes become effective 30 days after notification for material changes, or immediately for non-material changes. Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms.

1.4 Additional Terms

Certain features or services may be subject to additional terms, conditions, or policies. Those additional terms are incorporated into these Terms by reference and, in case of conflict, the additional terms shall prevail with respect to those specific features or services.

2. Eligibility and Account Registration

2.1 Age Requirements

For Students:

Students under the age of 18 may use the Platform only with the consent and supervision of a parent or legal guardian
Parents or guardians must create and manage accounts for users under 18
By allowing a minor to use the Platform, parents/guardians accept full responsibility for their use

For Teachers and Parents:

Must be at least 18 years of age to create an account
Must have legal capacity to enter into binding contracts

2.2 Parental Consent

For users under 18 years of age:

A parent or legal guardian must provide verifiable consent before the minor can use the Platform
Parents/guardians can create and manage student accounts on behalf of minors
Parents/guardians are responsible for monitoring and controlling minors' use of the Platform
We comply with applicable child privacy laws and regulations

2.3 Account Creation

To use certain features of the Platform, you must register for an account. During registration, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your information to keep it accurate and current
Use your real identity and not impersonate others
Create only one account per person (unless authorized for multiple roles)
Maintain the security and confidentiality of your account credentials
Not share your account with others or allow others to access your account

2.4 Authentication Methods

We support the following authentication methods:

Email and password authentication
Google OAuth authentication

By using third-party authentication, you agree to the terms and privacy policies of those providers.

2.5 Account Security

You are solely responsible for:

Maintaining the confidentiality of your password and account credentials
All activities that occur under your account, whether authorized or not
Any actions taken through your account

You must immediately notify us at info@leoqui.ai of:

Any unauthorized use of your account
Any security breach or compromise of your credentials
Any other security concerns

We are not liable for any loss or damage arising from your failure to protect your account credentials.

2.6 Account Suspension and Termination

We reserve the right to suspend, restrict, or terminate your account at our sole discretion, with or without notice, for any reason including:

Violation of these Terms
Fraudulent, illegal, or abusive behavior
Non-payment of fees
Extended period of inactivity
Risk to the security, integrity, or availability of the Platform
At our discretion to protect our interests or other users

3. User Roles and Access Rights

3.1 Student Accounts

Students can:

Access AI-powered voice tutoring and learning content
Practice lessons and complete assessments
Track their own learning progress and performance
Participate in adaptive learning experiences
Access study materials and resources appropriate to their grade level

Students cannot:

Access other students' data or progress
Modify platform settings beyond personal preferences
Share or distribute platform content outside permitted educational use

3.2 Teacher Accounts

Teachers can:

Access teaching resources and materials
View analytics and insights for their own usage
Create and manage learning content (where applicable)
Track their professional development progress

Teachers currently cannot access individual student data. This functionality may be added in future updates with appropriate permissions and privacy controls.

3.3 Parent Accounts

Parents/guardians can:

Create and manage accounts for their children (students under 18)
Monitor their children's learning progress and performance
Access reports on their children's usage and achievements
Control privacy settings for their children's accounts
Request data deletion for their children's accounts

Parents must:

Ensure accuracy of information provided for student accounts
Supervise minors' use of the Platform
Respect their children's privacy as appropriate for their age
Comply with applicable laws regarding children's data

3.4 Institutional Accounts (Future)

Educational institutions may receive additional features and controls in future updates, including:

Bulk account management
Institutional analytics and reporting
Class and group management
Teacher access to student performance data (with appropriate consent)

Separate institutional agreements may apply for school subscriptions.

4. Permitted Use and User Conduct

4.1 Permitted Use

You agree to use the Platform solely for lawful educational purposes, including:

Personal learning and skill development
Teaching and educational instruction
Parental monitoring of children's education
Legitimate academic research and study

4.2 Prohibited Activities

You agree NOT to:

General Prohibitions:

Violate any applicable local, state, national, or international laws or regulations
Infringe upon intellectual property rights of Tryzent or any third party
Impersonate any person or entity or misrepresent your affiliation
Engage in fraudulent, deceptive, or misleading activities
Harass, threaten, or harm others through the Platform

Technical Prohibitions:

Interfere with or disrupt the integrity, performance, or security of the Platform
Attempt to gain unauthorized access to any systems, networks, or accounts
Use automated systems (bots, scrapers, crawlers) without authorization
Reverse engineer, decompile, or attempt to extract source code from the Platform
Circumvent any security measures, access controls, or usage restrictions
Introduce viruses, malware, or other malicious code

Content Prohibitions:

Upload, transmit, or distribute harmful, offensive, or inappropriate content
Submit content that promotes violence, hatred, discrimination, or illegal activities
Share content that violates privacy rights or contains personal information of others
Distribute spam, unsolicited messages, or commercial content
Submit content that violates any third-party rights

AI Misuse:

Attempt to manipulate, deceive, or exploit the AI systems
Submit prohibited, illegal, or harmful content to AI services
Attempt to reverse engineer or extract information about AI models
Use AI-generated content for purposes outside permitted educational use
Circumvent content filters or safety mechanisms

Platform Misuse:

Use the Platform for any commercial purpose without authorization
Resell, redistribute, or sublicense access to the Platform
Share accounts or allow unauthorized access
Scrape, copy, or download content in violation of these Terms
Create derivative works based on the Platform without permission

4.3 Consequences of Violation

Violation of these Terms may result in:

Immediate suspension or termination of your account
Removal of content that violates these Terms
Legal action and liability for damages
Reporting to law enforcement authorities (for illegal activities)
Forfeiture of any paid subscription fees without refund
Permanent ban from the Platform

4.4 Monitoring and Enforcement

We reserve the right, but have no obligation, to:

Monitor use of the Platform for compliance with these Terms
Investigate potential violations
Remove or disable access to content that violates these Terms
Take any action we deem necessary to protect the Platform and users
Cooperate with law enforcement authorities

5. Subscription Plans, Pricing, and Payment

5.1 Subscription Plans

LeoQui offers various subscription plans tailored to different user types:

Student Plans: For individual students seeking AI-powered voice tutoring
Teacher Plans: For educators seeking professional development and teaching resources
Parent Plans: For parents monitoring and supporting their children's learning
Institutional Plans: For schools and educational organizations (future availability)

5.2 Pricing and Plan Details

Detailed information about subscription tiers, pricing, features, and durations is available on our Pricing page. Pricing may vary based on:

User type (Student, Teacher, Parent)
Subscription duration (monthly, quarterly, annual)
Features and usage limits included in each tier
Promotional offers or discounts (when available)

All prices are listed in Indian Rupees (INR) and are exclusive of applicable taxes unless otherwise stated.

5.3 Free Trial and Promotional Credits

Initial Sign-Up Offer: Upon first-time registration, new users receive:

Limited free credits to experience the Platform
Complimentary voice tutor session time
Access to trial features as specified during registration

Free Trial Terms:

Free credits and trial time are non-renewable and non-transferable
Free trial access does not require payment information
After exhausting free credits, you must subscribe to continue using paid features
Free trial terms are subject to change and may be modified or discontinued at any time

5.4 Payment Authorization

By subscribing to a paid plan, you authorize us to charge:

The subscription fee for your chosen plan
Applicable Goods and Services Tax (GST) and other taxes
Any applicable processing fees
Renewal fees for subsequent billing cycles (for auto-renewing subscriptions)

5.5 Payment Methods and Processing

Payment Gateway: We use Razorpay as our payment gateway provider. Payments can be made through:

Credit cards and debit cards
Net banking
UPI (Unified Payments Interface)
Digital wallets
Other payment methods supported by Razorpay

Payment Processing:

All payments are processed securely through Razorpay's PCI DSS compliant systems
We do not store your complete credit card numbers, CVV codes, or banking passwords
Payment information is handled in accordance with Razorpay's terms and privacy policy
You must provide accurate and complete payment information

Transaction Confirmation: Upon successful payment:

You will receive an email confirmation with transaction details
A GST-compliant invoice will be generated and sent to your registered email
Your subscription will be activated immediately or as specified
Credits will be added to your account

5.6 Subscription Billing Cycles

Automatic Renewal:

Most subscriptions automatically renew at the end of each billing cycle unless cancelled
You will be charged the then-current subscription fee for the renewal period
Renewal charges occur on the same date as your original subscription (or the next business day)
You authorize us to charge your payment method for automatic renewals

Billing Date:

Your billing date is established when you first subscribe
Charges occur on or around the same date each billing cycle
If a billing date falls on a day that doesn't exist in a month (e.g., 31st), billing occurs on the last day of that month

Price Changes:

We may change subscription prices at any time with 30 days' advance notice
Price changes take effect at the start of your next billing cycle after the notice period
Continuing to use the Platform after price changes constitutes acceptance of new pricing
Current subscribers will be notified via email before price increases

5.7 Taxes and Additional Charges

Goods and Services Tax (GST):

All prices are exclusive of GST unless otherwise stated
Applicable GST will be added to your total at checkout
GST rates are subject to change based on Indian tax regulations
GST-compliant invoices will be provided for all transactions
If you have a valid GST number, please provide it during checkout

Other Taxes: You are responsible for paying any additional taxes, duties, or other governmental charges imposed on your subscription, including but not limited to sales tax, use tax, or VAT.

5.8 Payment Failures

If a payment fails:

We will attempt to process the payment again automatically
You will be notified of the failed payment via email
Your access to paid features may be suspended until payment is successful
You are responsible for ensuring your payment method remains valid and has sufficient funds
Repeated payment failures may result in account suspension or termination

5.9 Late Payments and Collections

Late payments may result in suspension of Platform access
You remain responsible for all amounts due, plus any collection costs
We reserve the right to use collection agencies or legal action to recover unpaid fees
Accounts with overdue payments may be terminated without refund of any prior payments

6. Cancellation, Refunds, and Termination

6.1 No Refund Policy

All subscription fees are non-refundable. Once you purchase a subscription or credits, you are not entitled to a refund under any circumstances, including but not limited to:

Change of mind or dissatisfaction with the Platform
Failure to use the Platform or services
Technical issues not caused by our negligence
Termination or suspension of your account for violation of Terms
Discontinuation of specific features or services
Personal circumstances preventing use of the Platform

6.2 Limited Exceptions

Refunds may only be considered in the following exceptional circumstances, at our sole discretion:

Duplicate charges caused by technical errors on our payment system
You were charged but did not receive access to the subscribed service within 48 hours
Proven unauthorized or fraudulent transactions (subject to investigation and verification)

To request a refund under exceptional circumstances:

Contact us at info@leoqui.ai within 7 days of the charge
Provide transaction details, payment receipt, and explanation
We will investigate and respond within 10-15 business days
Refunds, if approved, will be processed to the original payment method within 15-30 business days

6.3 Cancellation by User

You may cancel your subscription at any time. Upon cancellation:

Mid-Cycle Cancellation:

You retain full access to paid features until the end of your current billing cycle
No refund will be provided for the unused portion of the current billing cycle
Your subscription will not renew for subsequent billing cycles
Any unused credits remain available until the end of the current billing cycle

Cancellation Process:

You can cancel through your account settings on the Platform
Alternatively, email info@leoqui.ai with your cancellation request
Cancellation confirmation will be sent via email
Cancellation takes effect at the end of the current billing cycle

After Cancellation:

You will retain access until the end of the paid period
Free tier access may be available (if offered)
Your data will be retained according to our data retention policy
You may re-subscribe at any time

6.4 Suspension and Termination by LeoQui

We reserve the right to suspend or terminate your account and access to the Platform immediately, without prior notice or liability, for any reason including:

Grounds for Termination:

Violation of these Terms or any applicable laws
Fraudulent activity or payment disputes
Abuse, misuse, or exploitation of the Platform
Harmful behavior toward other users or our staff
Non-payment of fees or repeated payment failures
Providing false information during registration
Security threats to the Platform or other users
Extended period of inactivity (as defined by us)
At our sole discretion to protect our interests

Effect of Termination: Upon termination by us:

Your access to the Platform ceases immediately
All licenses and rights granted to you terminate
You remain liable for any outstanding fees or charges
No refund will be provided for remaining subscription period
Your data may be deleted in accordance with our data retention policy
You may be permanently banned from creating new accounts

6.5 Data Upon Termination

Upon termination or cancellation:

You may request an export of your data (subject to technical feasibility)
We will retain certain data as required by law or legitimate business purposes
Personal data will be handled according to our Privacy Policy
We may retain anonymized or aggregated data indefinitely

6.6 Survival of Terms

7. Delivery Policy (Digital Services)

7.1 Nature of Service

LeoQui is a digital online service. There are no physical products or shipments involved.

7.2 Service Delivery

Upon Subscription Activation:

Access to subscribed features is granted immediately upon successful payment
You will receive email confirmation of subscription activation
Credits (if applicable) are added to your account instantly
No shipping or delivery charges apply

Access Requirements:

Stable internet connection
Compatible device (computer, tablet, or smartphone)
Supported web browser or mobile app
Microphone for voice interaction features

7.3 Service Availability

While we strive for continuous availability, the Platform may be temporarily unavailable due to:

Scheduled maintenance (with advance notice when possible)
Emergency maintenance or technical issues
Third-party service provider outages
Force majeure events beyond our control

We do not guarantee uninterrupted access and are not liable for temporary unavailability.

8. Educational Content and Curriculum

8.1 Content Sources

Our educational content is derived from:

Education Board textbooks and curriculum
Licensed educational materials and resources
AI-generated explanations and tutoring content

8.2 Context Grounding

We use textbook PDFs as reference materials for context grounding
AI language models generate personalized explanations and tutoring based on curriculum content
Content is adapted to individual learning needs and pace

8.3 Content Accuracy and Disclaimers

No Warranty on Accuracy: While we strive to provide accurate and high-quality educational content:

We do not guarantee that all content is accurate, complete, current, or error-free
AI-generated content may contain inaccuracies, errors, or inappropriate responses
Content should be used as a supplementary learning tool, not as the sole educational resource
Teachers, parents, and students should verify important information independently

Not a Substitute for Formal Education:

The Platform is designed to supplement, not replace, formal education
It should not be relied upon as the sole source of educational instruction
Students should continue attending school and following their institution's curriculum

No Guaranteed Outcomes:

We do not guarantee any specific learning outcomes, grades, test scores, or academic achievements
Learning results vary based on individual effort, aptitude, and circumstances
Past performance of other users does not guarantee similar results

8.4 Content Updates

Educational content is regularly updated to reflect curriculum changes
We may add, modify, or remove content at our discretion
Additional subjects, grades, and curriculum boards may be added over time
Users will not be notified of routine content updates

8.5 Third-Party Educational Content

Some content may be licensed from third-party publishers or educators:

Such content is subject to the intellectual property rights of the respective owners
We do not claim ownership of third-party licensed content
Use of such content is limited to Platform usage only

9. Intellectual Property Rights

9.1 Platform Ownership

All intellectual property rights in and to the Platform, including but not limited to:

Software, algorithms, and source code
User interface design and visual elements
LeoQui brand name, logos, trademarks, and service marks
Documentation, instructional materials, and guides
Platform architecture and functionality
Proprietary processes and methods

are owned by or licensed to Tryzent Technologies Private Limited and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

9.2 Limited License to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

Access and use the Platform for personal, non-commercial educational purposes
Download and use our mobile application (if available) on your authorized devices
Access educational content for your own learning or teaching purposes

This license does not permit you to:

Copy, modify, distribute, sell, or lease any part of the Platform
Reverse engineer, decompile, or attempt to extract source code
Remove or alter any copyright, trademark, or proprietary notices
Use the Platform for commercial purposes without authorization
Create derivative works based on the Platform

9.3 User-Generated Content

Ownership: You retain ownership of any content you create, upload, or submit to the Platform, including:

Learning notes and personal annotations
Responses to exercises and assessments
Voice inputs and conversation transcripts (subject to Section 9.4)
Any other content you generate

License Grant to LeoQui: By submitting content to the Platform, you grant Tryzent a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

Host, store, reproduce, and display your content to provide the Platform services
Process and analyze your content to deliver personalized learning experiences
Use anonymized and aggregated content for platform improvement and analytics
Use content for research and development purposes (with appropriate anonymization)

This license continues for a commercially reasonable period after you stop using the Platform or delete your content, as necessary for backup, legal compliance, or other legitimate purposes.

9.4 Voice Data and Transcripts

Voice Recordings:

We do not store your actual voice audio recordings
Voice inputs are processed in real-time and converted to text transcripts
Original audio is deleted immediately after transcription

Conversation Transcripts:

Text transcripts of your conversations with AI tutors are stored in our database
Transcripts are used for:
Adaptive learning and personalization
Historical analysis of learning progress
Platform improvement and quality assurance
Debugging and technical support
Transcripts are associated with your account and treated as personal data under our Privacy Policy

9.5 AI-Generated Content

Ownership of AI Outputs: AI-generated content (tutoring responses, explanations, assessments) is provided for your educational use. You may:

Use AI-generated content for personal learning and educational purposes
Share content with teachers or parents for educational support
Reference content in academic work (with proper attribution as AI-generated)

You may not:

Claim authorship of AI-generated content as your own original work
Use AI-generated content for commercial purposes
Distribute AI-generated content outside the context of your personal education
Use AI-generated content in violation of academic integrity policies

9.6 Learning Progress and Analytics Data

Ownership:

You retain ownership of your personal learning progress data and performance metrics
Institutions (schools) may have certain rights to student data under separate agreements

Data Portability:

You may request an export of your learning data
Exported data may be used for your personal records
Data exports are subject to technical limitations and format availability

9.7 Restrictions and Prohibitions

You may not:

Use the LeoQui name, logos, or trademarks without written permission
Scrape, crawl, or systematically extract data from the Platform
Frame or mirror any part of the Platform on other websites
Create derivative educational products based on our Platform
Reverse engineer our AI models or algorithms
Violate any intellectual property rights of Tryzent or third parties

9.8 Copyright Infringement Claims

If you believe content on the Platform infringes your copyright:

Send a written notice to info@leoqui.ai with:
Description of the copyrighted work claimed to be infringed
Description of where the infringing material is located on the Platform
Your contact information
A statement of good faith belief that the use is not authorized
A statement under penalty of perjury that the information is accurate
Your physical or electronic signature

We will investigate and take appropriate action, which may include removing the content.

10. Third-Party Services and AI Providers

10.1 AI Service Providers

The Platform integrates with third-party artificial intelligence and machine learning services to deliver AI-powered tutoring. Current AI providers include:

OpenAI: For natural language processing and conversational AI
Microsoft Azure AI Services: For speech recognition, text-to-speech, and cognitive services
Sarvam AI: For multilingual AI capabilities

We may integrate additional AI providers in the future to enhance Platform functionality.

10.2 Data Sharing with AI Providers

When you use AI-powered features:

Your prompts, questions, and conversation context are sent to AI providers through their APIs
Conversation transcripts are shared to maintain conversational context
Voice inputs are converted to text and sent to AI language models
AI providers process this data to generate tutoring responses

Data Processing Agreements: We use standard API terms and agreements with AI providers that stipulate:

User data will not be used to train the providers' AI models without explicit authorization
Data is processed solely to deliver the requested AI services
AI providers implement appropriate security and privacy safeguards
Data handling complies with applicable privacy laws

User Acknowledgment: By using the Platform, you acknowledge and consent to:

Sharing of your inputs and conversation data with AI providers as necessary for service delivery
Processing of your data by AI providers according to their respective privacy policies and API terms
The fact that AI providers may be located outside India, including in the United States

10.3 Authentication Providers

We use third-party authentication services:

Google OAuth: For Google account sign-in
Amazon Cognito: For secure authentication and user management

When you use these services:

You are subject to the terms and privacy policies of these providers
We receive limited profile information (name, email) necessary for account creation
We do not receive or store your Google or Amazon passwords

Reference to or integration with third-party services does not constitute our endorsement, recommendation, or warranty of those services. We are not responsible for:

Privacy practices or data security of third-party providers
Availability or performance of third-party services
Any damages or losses arising from your use of third-party services

10.8 Changes to Third-Party Integrations

Add, remove, or change third-party service providers at any time
Modify integrations or features that depend on third-party services
Discontinue certain features if third-party services become unavailable

We are not liable for disruptions caused by changes to third-party services beyond our control.

11. Privacy and Data Protection

Voice conversation transcripts (not audio recordings)
Learning progress and performance data
Usage analytics and platform interaction data
Payment and billing information

11.3 Student Data and Parental Rights

For users under 18:

Parents/guardians have the right to access, review, and request deletion of their children's data
Parents/guardians can control privacy settings for their children's accounts
We do not knowingly collect data from children without parental consent
Student data is used solely for educational purposes as described in our Privacy Policy

11.4 Data Security

We implement industry-standard security measures to protect your data. However:

No method of transmission or storage is 100% secure
We cannot guarantee absolute security of your data
You are responsible for maintaining the security of your account credentials

Quality, accuracy, or reliability
Uninterrupted or error-free operation

13.2 AI and Educational Content Disclaimers

AI-Generated Content:

AI tutors may produce inaccurate, incomplete, inappropriate, or harmful responses
AI responses should be verified and not relied upon as the sole source of truth
We do not guarantee the accuracy, relevance, or appropriateness of AI-generated content
AI models may exhibit biases or limitations inherent in their training data

Educational Content:

We do not guarantee that educational content is accurate, current, or complete
Content is supplementary and should not replace formal education
Content may contain errors, omissions, or outdated information
Curriculum alignment may not be perfect for all educational boards or schools

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRYZENT TECHNOLOGIES PRIVATE LIMITED, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, or business opportunities
Loss of data or information
Loss of goodwill or reputation
Cost of procurement of substitute services
Personal injury or emotional distress
Any other damages or losses

ARISING OUT OF OR RELATED TO:

Your use or inability to use the Platform
Any conduct or content of third parties on the Platform
Unauthorized access to or alteration of your transmissions or data
Any AI-generated content or responses
Service interruptions or technical issues
Errors, omissions, or inaccuracies in content
Reliance on Platform content for educational decisions

EVEN IF TRYZENT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF TRYZENT TECHNOLOGIES PRIVATE LIMITED FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF:

(a) The total amount you paid to Tryzent for access to the Platform in the twelve (12) months immediately preceding the event giving rise to the claim, OR (b) INR 10,000 (Ten Thousand Indian Rupees)

14.3 Applicability

These limitations apply:

Regardless of the legal theory or basis of the claim (contract, tort, negligence, strict liability, or otherwise)
Even if any limited remedy fails its essential purpose
To the fullest extent permitted by applicable law
To all claims collectively, not per incident

14.4 Essential Basis of Agreement

You acknowledge and agree that these limitations of liability are an essential basis of the agreement between you and Tryzent, and that we would not provide the Platform without these limitations.

14.5 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions:

The above limitations may not fully apply to you
Our liability will be limited to the maximum extent permitted by applicable law

15. Indemnification

You agree to indemnify, defend, and hold harmless Tryzent Technologies Private Limited, its affiliates, subsidiaries, and their respective directors, officers, employees, agents, partners, contractors, and licensors (collectively, the "Indemnified Parties") from and against any and all:

Claims, demands, actions, or proceedings
Losses, damages, liabilities, and costs (including reasonable attorneys' fees and legal expenses)
Fines, penalties, or settlements

Your violation of these Terms
Your violation of any applicable laws or regulations
Your violation of any third-party rights (including intellectual property, privacy, or publicity rights)

Your Content:

Any content you submit, upload, or transmit through the Platform
Inaccuracy or falsity of information you provide
Any harm caused by your content to other users or third parties

Account Misuse:

Unauthorized use of your account by others due to your failure to safeguard credentials
Actions taken through your account, whether authorized or not
Sharing of your account with unauthorized users

AI Misuse:

Inappropriate or harmful use of AI tutoring features
Manipulation or exploitation of AI systems
Use of AI-generated content in violation of academic integrity policies

Minors:

Failure to properly supervise minors' use of the Platform (for parents/guardians)
Provision of false consent or misrepresentation regarding age

15.2 Defense and Settlement

Tryzent reserves the right to:

Assume exclusive defense and control of any matter subject to indemnification
Require your cooperation in the defense of any claim
Approve any settlement that affects Tryzent's rights or obligations

You may not settle any claim without Tryzent's prior written consent if the settlement:

Imposes any obligation or liability on Tryzent
Includes any admission of fault or wrongdoing by Tryzent
Affects Tryzent's rights or interests in any way

15.3 Notification

If you become aware of any claim or potential claim subject to indemnification:

Provide all relevant information and documentation
Cooperate fully with Tryzent's investigation and defense

15.4 Survival

This indemnification obligation survives termination of your account and these Terms.

16. Confidentiality

16.1 Definition of Confidential Information

"Confidential Information" means any non-public information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party") in connection with the Platform, including but not limited to:

Proprietary algorithms, methodologies, and technical information
Business strategies, plans, and financial information
User data and analytics (subject to Privacy Policy)
Trade secrets and know-how
Any information marked or designated as confidential

16.2 Obligations

The Receiving Party agrees to:

Protect Confidential Information using at least the same degree of care as for its own confidential information, but no less than reasonable care
Not disclose Confidential Information to any third party without prior written consent
Use Confidential Information solely for the purposes authorized under these Terms
Limit access to Confidential Information to those with a legitimate need to know

16.3 Exceptions

Confidential Information does not include information that:

Is or becomes publicly available through no fault of the Receiving Party
Was rightfully in the Receiving Party's possession before disclosure
Is independently developed by the Receiving Party without reference to the Confidential Information
Is rightfully obtained from a third party without restriction on disclosure

16.4 Required Disclosures

The Receiving Party may disclose Confidential Information if required by:

Law, regulation, or court order
Government or regulatory authority

Provided that the Receiving Party:

Provides prompt notice to the Disclosing Party (unless prohibited by law)
Cooperates with the Disclosing Party's efforts to seek protective measures
Discloses only the minimum information required

16.5 Return or Destruction

Upon termination or request by the Disclosing Party:

The Receiving Party will promptly return or destroy all Confidential Information
Certification of destruction may be required
Exceptions apply for information required to be retained by law or for backup purposes

16.6 Remedies

The parties acknowledge that:

Breach of confidentiality obligations may cause irreparable harm
Monetary damages may be inadequate remedy
The Disclosing Party may seek equitable relief (including injunction) in addition to other remedies

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms and any disputes arising out of or relating to these Terms or the Platform shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

17.2 Jurisdiction and Venue

Exclusive Jurisdiction: The courts located in New Delhi, Delhi, India shall have exclusive jurisdiction over any disputes arising from or relating to these Terms or the Platform.

You irrevocably submit to the jurisdiction of these courts and waive any objection to:

Venue in these courts
Inconvenient forum

17.3 Informal Dispute Resolution

Mandatory Pre-Litigation Process: Before initiating any formal legal proceedings, the parties agree to attempt to resolve disputes informally:

Arbitration shall be individual only; no class arbitration or class actions
Arbitrator cannot consolidate multiple parties' claims
Arbitral award may be entered as a judgment in any court of competent jurisdiction

17.5 No Class Actions

Class Action Waiver: You agree that:

Any dispute resolution proceedings will be conducted only on an individual basis
You waive the right to participate in class actions, class arbitrations, or representative actions
You may not act as a class representative or participate as a class member in any proceeding
The arbitrator may not consolidate or join claims of multiple parties

If the class action waiver is found unenforceable:

The arbitration agreement shall be void for that claim
The claim must be litigated in court
Other claims remain subject to arbitration

17.6 Time Limitation on Claims

Regardless of any statute or law to the contrary:

Any claim or cause of action arising out of or related to these Terms or the Platform must be filed within one (1) year after the claim arose
Claims not filed within this period are permanently barred

17.7 Costs and Attorney's Fees

In any dispute:

Each party bears its own costs and attorney's fees unless otherwise determined by the court or arbitrator
The prevailing party may be awarded reasonable attorney's fees and costs at the discretion of the court or arbitrator
Tryzent may seek recovery of costs for frivolous or bad-faith claims

17.8 Injunctive Relief

Notwithstanding the above:

Either party may seek preliminary or injunctive relief from any court of competent jurisdiction
Such relief may be sought to preserve the status quo or prevent irreparable harm
Seeking injunctive relief does not waive the right to arbitration or informal resolution

17.9 Consumer Rights

These dispute resolution provisions do not affect any statutory consumer rights that cannot be waived under applicable law.

18. Miscellaneous Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and Tryzent regarding the Platform and supersede all prior or contemporaneous:

Agreements, understandings, or representations
Written or oral communications
Proposals or statements

18.2 Amendments

We reserve the right to modify these Terms at any time. Changes will be effective as specified in Section 1.3.

No waiver, modification, or amendment shall be effective unless in writing and signed by an authorized representative of Tryzent.

18.3 Severability

If any provision of these Terms is found to be:

The remaining provisions shall remain in full force and effect

No Implied Waiver: Tryzent's failure or delay in enforcing any provision of these Terms does not constitute a waiver of:

Specific to the provision being waived

A waiver of any breach does not constitute a waiver of any subsequent breach.

18.5 Assignment

Your Restrictions: You may not assign, transfer, or delegate these Terms or your rights and obligations under these Terms without Tryzent's prior written consent. Any attempted assignment in violation of this section is void.

Our Rights: Tryzent may freely assign, transfer, or delegate these Terms and all rights and obligations without restriction, including to:

Affiliates or subsidiaries
Successor entities in a merger, acquisition, or sale of assets
Third-party service providers

18.6 No Third-Party Beneficiaries

These Terms are for the sole benefit of the parties and do not create any third-party beneficiary rights, except:

Indemnified Parties under Section 15
Third parties explicitly identified as beneficiaries in these Terms

18.7 Force Majeure

Tryzent shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

Acts of God (earthquakes, floods, storms, pandemics)
War, terrorism, riots, or civil unrest
Government actions, embargoes, or sanctions
Strikes or labor disputes
Failure of third-party services or infrastructure
Internet or telecommunications outages
Power outages or equipment failures

During a force majeure event:

Tryzent's obligations are suspended for the duration of the event
Tryzent will make reasonable efforts to mitigate the impact
No refunds or credits will be provided

If the force majeure event continues for more than thirty (30) days, either party may terminate the affected services.

18.8 Relationship of Parties

Nothing in these Terms creates or shall be deemed to create:

A partnership, joint venture, or agency relationship
An employment relationship
A franchise or sales representative relationship

Between you and Tryzent. Neither party has authority to bind the other or make commitments on behalf of the other.

18.9 Notices

To You: Notices to you may be sent:

Through in-app notifications or announcements
By posting on the Platform

Notices are deemed effective:

For email: 24 hours after sending (assuming not bounced)
For in-app: when posted or displayed
For Platform announcements: when posted

The following sections survive termination of your account or these Terms:

You grant Tryzent a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate the Feedback
